Terms of Service

1. Agreement
By engaging Vertinus for software development or related technical services, you ("Client") agree to the terms below. These terms govern the relationship between you and Vertinus for any software, website, integration, automation, interface, or support services we provide.
2. Services
Vertinus will provide software engineering and related services as described in the written scope agreed upon before work begins. The expected requirements, tasks, estimated hours, deliverables, and timeline will be specified in that scope.
Any work outside the agreed scope will be estimated and approved separately before it is undertaken.
3. Payment
Services are billed at $49.99 USD per hour unless a different rate is agreed in writing. Before work begins, Vertinus will provide an estimate of the hours expected for the agreed scope.
Invoices are based on time actually worked and will not exceed the approved estimate for the agreed scope. If completing that scope takes longer than estimated, Vertinus will absorb the extra hours. New requirements, scope changes, and Client-requested additions are estimated and approved separately before work begins.
4. Managed Website Care
Managed Website Care is an optional service billed at $50 USD per month in advance. It includes managed website hosting, one standard-priced domain registration or renewal, domain and DNS administration, SSL and CDN configuration, uptime and contact-form monitoring, backups and recovery, deployment management, and reasonable routine dependency and security maintenance.
Managed Website Care does not include copy or image changes, new pages, new features, integrations, redesign work, SEO campaigns, business email, premium domain costs, paid third-party tools, or unusually high hosting usage. Work outside the included technical care is billed at $49.99 per hour after Client approval. Vertinus does not guarantee uninterrupted availability, but will make reasonable efforts to monitor and restore covered websites.
The service is month-to-month and may be cancelled in writing. Service continues through the end of the paid billing period.
5. Domain management
When requested, Vertinus may register, renew, and manage one standard-priced domain for the Client as part of Managed Website Care. The Client remains the legal registrant and beneficial owner of the domain. Vertinus acts as its technical and administrative manager and may maintain operational access to the registrar and DNS accounts while the service is active.
Premium domain purchases, brokerage, transfer fees, and non-standard renewal costs are not included and require Client approval. The Client is responsible for providing accurate registrant information.
On cancellation or written transfer request, Vertinus will provide the information or authorization needed to transfer the domain and website within 30 days after all outstanding invoices are paid. The Client is responsible for accepting the transfer and establishing replacement hosting, DNS, and renewal arrangements.
6. Revisions
Revisions and change requests are billed at the same hourly rate unless the written scope states otherwise. Requests that add screens, workflows, integrations, pages, features, or a substantially different interface direction may require a separate approved estimate.
7. Client responsibilities
The Client is responsible for providing all necessary content (text, images, logos, brand guidelines) in a timely manner. Delays in providing content may result in timeline adjustments. The Client warrants that they have the rights to any content they provide and that its use will not infringe on third-party rights.
8. Intellectual property
Upon receipt of final payment, the Client receives full ownership of the completed project code, interface work, and project-specific deliverables. Vertinus retains the right to display the work in a portfolio unless the Client requests otherwise in writing.
Third-party assets (fonts, icons, stock imagery) remain subject to their respective licenses, which the Client is responsible for maintaining.
9. Warranties and liability
Vertinus will build the agreed software or website to a professional standard using current best practices. However, we do not guarantee uninterrupted third-party services, specific search rankings, conversion rates, or business outcomes.
Our liability for any claim arising from the services is limited to the total fees paid for the specific project giving rise to that claim.
10. Cancellation
Either party may cancel a project with written notice. If the Client cancels after work has begun, they are responsible for payment for all time worked and approved expenses incurred through the cancellation date.
11. Governing law
These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation before any formal proceedings.
